This agreement sets out the terms and conditions (the “Terms”) by which [owner of
the tool] (“we”, “our”, “Ctrackr”) provides access to our software application (the
“Software”) to [subscriber college] (“you”, “your”, “the User”). Each a “Party” and
collectively the “Parties”. Please read these Terms and Conditions carefully before
using the Software.
1. Terms of Use
- 1.1. Eligibility: You must be at least 18 years old to access and use our Software.
- 1.2. Acceptance: By creating an account, accessing, or using Ctrackr, you accept and agree to be bound by these terms and conditions. If you do not agree to these terms, do not create an account or use the tool.
- 1.3. Modifications: We reserve the right, at any time, to amend, modify,alter, or update these terms and conditions. We will endeavor to notify usersof such changes via email or through in-app notifications. Continued use ofthe application after changes have been made constitutes acceptance of thenew terms and conditions.
- 1.4. Relationship: No agency, partnership, joint venture, or employment iscreated as a result of these Terms, and the User does not have any authorityof any kind to bind Ctrackr in any respect whatsoever.
- 1.5. Scope of Use: Subject to the terms herein, all rights conferred by these Terms are granted to the User as a provider of educational services. No part of the Software may be used for other purposes, including, but not limited to, research, study, competitor analysis, or any other activity prohibited by this agreement.

2. Data Collection, Storage and Protection
- 2.1. Personal Information: Ctrackr collects the following personal information from users:
- Name
- Email ID
- Phone Number
- Date of Birth (DOB)
- 2.2. Accuracy: You agree to provide accurate, current, and complete information during the account creation process and to update such information to keep it accurate, current, and complete.
- 2.3. Security Measures: Ctrackr employs reasonable security measures to protect your personal information from unauthorized access, use, or disclosure. All collected data is stored using industry-standard encryption methods. Access to this data is restricted to authorized personnel only.
- 2.4. Security Disclaimer: However, Ctrackr cannot guarantee the absolute security of a user’s account, account information, and/or data, and we cannot promise that the security measures will prevent third-party “attackers” from illegally accessing the Software or its content.
3. Ctrackr Software Tool
- 3.1. Internet Requirements: The Software requires a suitable, fast, stable, and reliable internet connection to ensure full and effective functionality. Ctrackr recommends the use of a wired internet connection for better connectivity, although this recommendation does not guarantee the performance of the User’s internet provider.
- 3.2. Beta Version Disclaimer: The Software is currently in Beta version and is provided on an "as is" and "as available" basis. The Software is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. The use of the Software is at the User’s sole risk.
- 3.3. Technical Support: Ctrackr shall endeavor to promptly address any technical glitches encountered while using the software, provided such glitches are brought to Ctrackr’s attention immediately.
- 3.4. No Warranties: Ctrackr, its subsidiaries, affiliates, and its licensors, do not warrant that:
- 3.4.1. The Software will meet the User’s specific requirements; or
- 3.4.2. The quality of the Software will meet all the User’s expectations; or
- 3.4.3. The Software will always be accurate or reliable; or
- 3.4.4. The Software will be uninterrupted, timely, secure, or error-free; or
- 3.4.5. The Software is free of viruses or other harmful components; or
- 3.4.6. Any/all errors in the Software will be corrected.
- 3.5. Data Retention: All data uploaded by the User onto the Software shall be stored for as long as the User actively continues using the service. The User shall download all data they wish to save before the account permissions are terminated. Once the account is terminated, all data is permanently deleted. There is no possible way to retrieve deleted data.
- 3.6. Irretrievable Data: Any data deleted at any time from the Software cannot be restored.
4. User Roles and Responsibilities
- 4.1. Admins:
- 4.1.1. Permissions: Admins have full access to the application, including the ability to create, modify, and delete user accounts under their management. They can track and manage commissions, export data in PDF and Excel formats, and oversee the overall use of the application.
- 4.1.2. Responsibilities: Admins are responsible for ensuring the accuracy and integrity of the data entered into the system. They must monitor their users' activities to prevent any misuse of the application. Admins must also ensure that all users under their management comply with these terms and conditions.
- 4.2. Other Users:
- 4.2.1. Permissions: Users under the supervision of admins can log in to the application, manage their profiles, and perform specific tasks assigned by the admins. These tasks may include tracking commissions, managing student referrals, and exporting relevant data.
- 4.2.2. Responsibilities: Users are responsible for maintaining the accuracy of the data they enter into the application. They must comply with the policies and guidelines set forth by their respective admins and these terms and conditions.
5. Software License Fees
- 5.1. Beta Version: The Software is still in Beta version and is currently provided to users free of charge on the condition that the User agrees to provide feedback on all aspects of the tool for further development. Feedback may be provided by the users at any time or requested by Ctrackr on an ad-hoc basis.
- 5.2. Subscription Model: Upon launching the Software in Alpha version, the service may become payable on a one-off/monthly/annual subscription basis. This will be further communicated with the User in advance, to provide the User a chance to decide whether to continue using the paid service or terminate their use of the tool.
6. Commission Tracking and Dispute Resolution
- 6.1. Tracking: Commissions are tracked within the Ctrackr tool, providing a comprehensive overview of commissions paid to agents for student referrals.
- 6.2. Data Export: Users have the ability to export this data in PDF and Excel formats. Although the application does not process real payments, it facilitates the management and calculation of commissions.
- 6.3. Dispute Reporting: Any disputes regarding commission calculations, data inaccuracies, or other issues should be reported to the Ctrackr support team. The support team will investigate the matter and take appropriate action to resolve the dispute in a timely manner.
7. Termination and Suspension
- 7.1. Termination/Suspension by Ctrackr: Ctrackr reserves the right at any time to terminate or suspend user accounts for violations of these terms and conditions or any misuse of the application. The decision to terminate or suspend an account will be made at the sole discretion of Ctrackr.
- 7.2. User Termination: The User may request termination of their access to the tool at any time. The User may be asked to provide feedback to support their reasoning for the termination request.
8. Unauthorised, Malicious and/or Illegal Use
- 8.1. Prohibited Actions: Users are expected to use the application responsibly and in accordance with these terms and conditions. Ctrackr does not authorise the User to do any functionality changes or integrations into the Software without prior consent.The User must not:
- 8.1.1. Use the Software in any unlawful manner, for any unlawful or fraudulent purpose, or in any manner inconsistent with these Terms; or
- 8.1.2. Upload any malicious or unlawful content and/or data onto the Software; or
- 8.1.3. Infringe on the intellectual property rights, or those of any third party, in relation to their use of the Software; or
- 8.1.4. Tamper with or use the Software in a way that could damage, disable, overburden, impair or compromise Ctrackr’s systems or security, or interfere with other users’ systems or security; or
- 8.1.5. Collect any information or data from the Software or systems; or
- 8.1.6.Disclose or distribute information relating to another user of the Software to any third party; or
- 8.1.7. Use any other User's information for any marketing purposes unless they have obtained the User's express permission to do so; or
- 8.1.8. Access or register user logins via any automated methods.
- 8.2. Consequences: Any misuse of the application, including but not limited to, unauthorized data manipulation or sharing, may result in the suspension or termination of the User’s account.
9. Intellectual Property
- 9.1. Ownership: The User acknowledges and agrees that Ctrackr will hold all intellectual property rights in the Software, including but not limited to copyright and trademark rights.
- 9.2. License Grant: Under the terms of this license, Ctrackr grants the User non-exclusive, non-transferable, and time-limited rights to use the software, interfaces, content, documentation, and any data, whether in read- only memory, on any other media, or in any other form.
- 9.3. Non-Challenge: The User undertakes not to challenge or do anything inconsistent with such ownership.
- 9.4. Data Use License: License: By using the software, the User grants Ctrackr a royalty-free, irrevocable, perpetual license to use information and/or data collected from the User’s activity on the Software, provided that the information or data is anonymized before use. Other than this right, Ctrackr claims no intellectual property rights in relation to the information or contents the User inputs into the Software.
- 9.5. Feedback: The User may provide Ctrackr with feedback, alternative options, comments, or suggestions on the Software, and the User agrees that Ctrackr will be free to use, modify, and incorporate such suggestions without any obligation to the User. All intellectual property rights for such modifications remain with Ctrackr.
- 9.6. Retention of Rights: Ctrackr retains ownership of the software itself and reserves all rights not expressly granted to the User.
- 9.7. Restrictions: The User is not permitted to assign, sublicense, novate, or transfer these Terms or any of the rights licensed to them.
10. Limitation of Liability and Indemnification
- 10.1. Limitation of Liability: Ctrackr shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the Software. As no monetary remuneration is received by Ctrackr from the User at this stage, no dispute or court claim for damages may arise in connection with these Terms.
- 10.2. Indemnification: Users agree to indemnify and hold harmless Ctrackr and its affiliates from any claims, losses, or damages resulting from their use of the application.
11. Dispute Resolution
- 11.1. Amicable Settlement: Any dispute arising out of or in connection with these Terms shall, to the extent possible, be settled amicably by negotiation between the Parties within thirty (30) days from the date of written notice by either Party of the existence of such a dispute.
- 11.2. Termination of Access: If the Parties do not reach a settlement within a period of thirty (30) days, they will resort to terminating the User’s access to the Software, and no further actions will be necessary or permitted.
